1. Introduction
1.1 Purpose
Domer Industries (“Domer,” “we,” or “us”) invites individuals and businesses with substantial knowledge and connections in the construction industry to participate in our Affiliate Program. By joining, Affiliates earn a commission for introducing new project leads that result in successfully executed contracts with Domer.
1.2 Agreement to Terms
By applying to and participating in this Affiliate Program, you agree to be bound by these Terms & Conditions (“Agreement”). If you do not agree, you must not apply or continue in the program.
2. Eligibility and Approval
2.1 Application
- All prospective Affiliates must complete the Affiliate Program application form with accurate and current information.
- Domer reserves the right to accept or reject any application at its sole discretion, for any reason or no reason.
2.2 Affiliate Tag/Code
- Upon approval, each Affiliate will receive a unique identifier or code (“Affiliate Tag”).
- The Affiliate Tag must be used when submitting leads to ensure proper tracking and credit.
2.3 Representation
- Affiliates act solely as a referral resource, not as Domer employees, agents, or distributors.
- Affiliates have no authority to negotiate or close contracts on Domer’s behalf and must not portray themselves as representatives beyond providing leads.
3. Scope of Activities
3.1 Lead Generation
- Affiliates shall share potential project leads (e.g., clients, contractors, consultants, designers, architects, builders, etc.) that Domer has not previously contacted or engaged with.
- All information provided by Affiliates must be accurate, complete, and relevant to Domer’s product and service offerings.
3.2 Submission Process
- Leads must be submitted via the official channel designated by Domer (e.g., the assigned contact person, regional manager, or affiliate portal).
- Domer will evaluate and, if appropriate, pursue the lead at its sole discretion. Domer is under no obligation to accept or follow up on every submitted lead.
3.3 No Sales Target
- There are no minimum quotas or performance requirements imposed on Affiliates.
- Affiliates will be rewarded for valid, new leads that convert into paid contracts with Domer.
3.4 Lead Submission & Verification Process
- Dedicated Domer Contact
- Upon approval into the Affiliate Program, you will be assigned a dedicated Domer contact person (“Affiliate Liaison”) responsible for receiving and coordinating your leads.
- The Affiliate Liaison serves as your primary point of contact for all program-related inquiries, lead status updates, and commission questions.

- All leads must be submitted through the method specified by Domer, which may include a web-based form, email to the Affiliate Liaison, or another official channel.
- Each submitted lead must clearly reference your unique Affiliate Tag/Code to ensure proper tracking.

- Lead Verification
- Once a lead is submitted, Domer will verify whether it is new (i.e., not previously in contact with Domer).
- The Affiliate Liaison will notify you in writing, by email or via the affiliate portal, whether the lead has been accepted or rejected, typically within five (5) business days of submission.

- Qualification and Follow-Up
- For each accepted lead, Domer’s business development or sales team will contact the prospect to assess feasibility and potential scope of work.
- Domer will keep you informed of key milestones and, ultimately, the outcome (e.g., signed contract, project timeline, etc.) if the lead progresses.

- Commission Confirmation
- Once a referred project is officially contracted and Domer has received payment (as specified in the main T&C), the Affiliate Liaison will confirm your commission and payment schedule.

- Domer will maintain accurate records of all submitted leads and their current status.
- You may request updates on the status of a lead by contacting your Affiliate Liaison.

3.5 Right to Modify Lead Submission & Verification Process
- Right to Modify
- Domer reserves the right, at its sole discretion, to modify, discontinue, or replace any aspect of the lead submission and verification process at any time. These changes may include, but are not limited to, altering submission forms, introducing new communication channels, or adopting new verification procedures.

- While Domer will make reasonable efforts to inform Affiliates of material changes to the lead submission and verification process, Domer is under no obligation to provide individualized notice of every change. Domer shall not be liable for any failure to notify Affiliates of such modifications.

- No Effect on Other Terms
- Any modifications to the lead submission and verification process do not alter or invalidate the other provisions of this Agreement (including commission rates, conflict of interest obligations, and confidentiality requirements), which remain in full force and effect.

- Continued Participation
- An Affiliate’s continued participation in the program following any process changes constitutes acceptance of those changes. If an Affiliate does not agree to the modifications, the Affiliate’s sole remedy is to terminate participation in the program in accordance with the termination provisions of this Agreement.

4. Commission and Payment
4.1 Commission Rate
- Domer will pay the Affiliate a commission of up to four percent (4%) of the net contract value (excluding shipping, handling, and other ancillary costs).
- The exact percentage and any applicable deductions or caps will be specified in writing once the lead is accepted.
4.2 Payment Terms
- Commission payments will be made after Domer receives full payment from the referred client, and the contract is considered successfully executed.
- Domer will specify the payment cycle (e.g., monthly or quarterly) and payment method (e.g., bank transfer).
4.3 Conditions for Payment
- Commissions apply only to leads that result in new customer contracts.
- If the referred project/contract is canceled, delayed indefinitely, or otherwise deemed invalid, no commission is payable.
5. Conflict of Interest
5.1 Disclosure of Potential Conflicts
- Affiliates must disclose any existing or potential conflict of interest, especially if they are employed by or have a financial/managerial interest in the organization from which the lead originates.
- Leads stemming from your own employer or entities directly linked to you are ineligible unless explicitly approved in writing by Domer.
5.2 Liability for Conflict of Interest
- Affiliates assume sole and exclusive responsibility for any and all conflicts of interest that may arise in connection with the leads submitted.
- Domer disclaims any and all liability relating to conflict-of-interest situations, and the Affiliate shall indemnify and hold Domer harmless from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from or related to the Affiliate’s breach of this section or failure to disclose relevant conflicts.
5.3 Right to Reject Leads
- Domer reserves the right to reject or revoke acceptance of any lead at any time if it determines that a conflict of interest exists or may exist.
- Submission of ineligible or conflicting leads without full disclosure could result in immediate termination from the program and potential legal liability.
6. Confidentiality
6.1 Affiliate Obligations
Affiliates must keep strictly confidential any and all non-public information received from Domer (“Confidential Information”), including but not limited to: pricing, customer data, contracts, product details, designs, engineering drawings, technical specifications, supplier information, business strategies, financial data, and proprietary technology.
Confidential Information shall:
- Be used solely for the purpose of referring legitimate project leads to Domer.
- Not be disclosed to any third party without Domer’s prior written consent.
- Not be copied, reproduced, reverse engineered, or exploited for personal or third-party benefit.
- Be protected using at least the same degree of care the Affiliate uses to protect its own confidential information, and in no event less than reasonable commercial standards of care.
This obligation survives termination of the Agreement for a period of five (5) years, and for trade secrets, indefinitely to the maximum extent permitted by law.
6.2 Penalty for Breach
Any breach of confidentiality by the Affiliate, its employees, representatives, subcontractors, or related parties shall result in:
- Immediate termination of the Affiliate’s participation in the program.
- Immediate forfeiture of any unpaid commissions.
- A contractual penalty of not less than Five Hundred Thousand United States Dollars (USD 500,000) per breach.
The Affiliate expressly agrees that:
- The minimum penalty of USD 500,000 represents a reasonable pre-estimate of damages given the sensitive commercial nature of Domer’s proprietary information.
- This penalty is in addition to, and not in limitation of, Domer’s right to claim full compensatory damages, consequential damages, reputational damages, lost profits, legal costs, and any other remedies available under applicable law.
- If the actual damages exceed USD 500,000, Domer reserves the right to claim the higher proven amount.
The Affiliate further agrees that Domer shall be entitled to seek immediate injunctive relief without the need to post bond.
6.3 Non-Circumvention
Affiliates shall not, directly or indirectly:
- Circumvent Domer by engaging, soliciting, negotiating with, or contracting with Domer’s clients, suppliers, or leads for competing or similar products.
- Use Confidential Information to develop, manufacture, promote, or assist any competing product or service.
Any act of circumvention shall be treated as a material breach of this Agreement and subject to the same minimum penalty of not less than USD 500,000, in addition to full damages and legal remedies.
6.4 Privacy and Data Protection
Any personal data shared by Affiliates must be collected and processed in compliance with applicable data protection and privacy laws.
Affiliates must:
- Obtain all necessary consents before sharing personal information.
- Ensure that leads are informed that their information will be shared with Domer for business purposes.
- Indemnify and hold Domer harmless from any data protection violations resulting from the Affiliate’s actions.
7. Intellectual Property
7.1 Usage of Domer Marks
- Affiliates may not use Domer’s name, logos, or other trademarks without prior written approval, except as necessary to identify themselves as a Domer Affiliate.
- Any permitted use of Domer’s trademarks must adhere to our brand guidelines and is revocable at any time.
8. Termination
8.1 Termination by Domer
- Domer may terminate an Affiliate’s participation at any time, with or without cause, effective immediately upon written notice.
- Grounds for termination include, but are not limited to:
- Providing false or misleading information.
- Submitting leads that present an undisclosed conflict of interest.
- Breach of any provision of this Agreement (including confidentiality obligations).

8.2 Termination by Affiliate
- An Affiliate may withdraw from the program at any time by providing written notice to Domer.
8.3 Effect of Termination
- Upon termination, the Affiliate’s right to submit new leads and earn commissions ceases immediately.
- Valid commissions accrued up to the termination date (for leads already converted to signed contracts) will be paid in the normal course, unless there is an active dispute or evidence of fraud, conflict of interest, or breach of this Agreement.
9. Disclaimer and Limitation of Liability
9.1 No Guarantee
- Domer makes no representations or warranties about the number or volume of contracts that may result from Affiliate leads.
- Any projections or forecasts Domer may provide are estimates only and not a guarantee.
9.2 Limitation of Liability
- Domer shall not be liable for any indirect, consequential, special, or punitive damages arising out of or in connection with this Agreement.
- Domer’s total liability to any Affiliate for any claim arising under or relating to this Agreement shall not exceed the total commissions actually earned by that Affiliate.
10. Governing Law and Dispute Resolution
- This Agreement shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates.
- Any disputes arising from or relating to this Agreement that cannot be resolved amicably shall be referred to the exclusive jurisdiction of the competent courts in Dubai, United Arab Emirates.
- Notwithstanding the foregoing, Domer shall have the right to seek injunctive relief or other equitable remedies in any court of competent jurisdiction to prevent or address breaches of confidentiality or intellectual property rights.
11. Entire Agreement and Amendments
11.1 Entire Agreement
- These Terms & Conditions constitute the entire agreement between Domer and the Affiliate regarding the Affiliate Program and supersede all prior or contemporaneous agreements or representations.
11.2 Amendments
- Domer reserves the right to amend or update this Agreement at any time.
- Continued participation in the Affiliate Program following notice of any changes constitutes acceptance of those changes.
12. Acceptance
By submitting an application and/or continuing in the Domer Industries Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, including the conflict-of-interest and confidentiality provisions and related liabilities.
